University of Illinois Software License Agreement
Under this Agreement, The Board of Trustees of the University of
Illinois ("University") provides software ("Software") described in
Attachment A, attached hereto and incorporated, to licensee name
("Licensee") subject to the following conditions:
- The University grants, and Licensee accepts, a
nonexclusive, non-transferable license to use, display, install, copy,
and distribute the Software for its internal use. Licensee may, at its
own expense, modify the Software as necessary, subject to an
obligation to provide University with a copy of all such
modifications. Any such copy or portion thereof shall include the
University copyright notice.
- THE UNIVERSITY GIVES NO WARRANTIES, EITHER EXPRESSED OR IMPLIED,
FOR THE SOFTWARE AND/OR ASSOCIATED MATERIALS PROVIDED UNDER THIS
AGREEMENT, INCLUDING, WITHOUT LIMITATION, WARRANTY OF MERCHANTABILITY
AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
Licensee understands the Software is a research tool for which no
warranties as to capabilities or accuracy are made, and Licensee
accepts the Software "as is". Licensee assumes the entire risk as to
the results and performance of the Software and/or associated
materials. Licensee agrees that University shall not be held liable
for any direct, indirect, consequential, or incidental damages with
respect to any claim by Licensee or any third party on account of or
arising from this Agreement or use of the Software and/or associated

- Licensee understands the Software is proprietary to the
University. Licensee shall not publish the Software, or sell,
transfer, or disseminate the Software provided to Licensee under this
Agreement to any third parties. Licensee agrees to take all reasonable
steps to insure that the Software is protected and secured from
unauthorized disclosure, use, or release, and to treat the Software
with the same degree of care with which Licensee treats and protects
similar proprietary information of its own against unauthorized public
disclosure. If Licensee discontinues its use of the Software, it shall
return all copies to the University, or destroy all copies and notify
the University of such destruction in writing.
- In the event that Licensee shall be in default in the performance
of any obligations under this Agreement, and if the default has not
been remedied within sixty (60) days after the date of notice in
writing of such default, University may terminate this Agreement by
written notice. In the event of termination, Licensee shall promptly
return to University the original and any copies of licensed Software
in Licensee's possession.
- In all uses of the Software, where appropriate, Licensee will
credit the origins of the Software, or derivative works based thereon,
to the author(s) and the University of Illinois, for their role in the
development of the Software.
- Should Licensee wish to incorporate a substantial part or all of
the Software, or a derivative work of a substantial part or all
thereof into a commercial hardware or software product, Licensee will
contact the University to negotiate appropriate contractual
arrangements for such use.
- This Agreement shall be construed and interpreted in accordance
with the laws of the State of Illinois.
- Licensee will not export or re-export the Software without the
appropriate United States or foreign government license.
The following Software will be made available to the Licensee
identified below for its internal use under the terms of the attached
Software License Agreement, University of Illinos:
